Indemnification

You agree to defend, indemnify and hold harmless EZ Comp Care and our directors, officers, employees and consultants, from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees) and other expenses that arise out of or from (a) your activities in connection with the Site; and (b) any violation of these Terms of Use by you, including breach of any representations or warranties made by you in this Terms of Use.

This Agreement is governed by the laws of the State of Florida, without reference to its conflict of law principles. Venue and jurisdiction for any disputes arising under this Agreement or relating to or arising from use of the Website or any services provided by EZ Comp Care shall lie solely in the state or federal courts in Hillsborough County, Florida, and you hereby consent to such personal jurisdiction before such courts and waive any jurisdictional, venue or inconvenient site objections to such courts, in any matter arising out of or related to the Web Site and any services purchased through the Web Site or promoted on the Web Site, and these Terms of Use. The parties hereto acknowledge that a suit for damages arising out of any breach or violation of any provision of this Agreement will be inadequate and shall cause irreparable harm that cannot be fully remedied by monetary damage and in the event of any breach or violation, or threatened breach or violation, of this Agreement, EZ Comp Care alone shall have the right, in addition to any other rights or remedies available at law or in equity, to obtain injunctive relief without the necessity of proving actual damages. EZ Comp Care may assign its rights and obligations under these Terms of Use. You agree to comply with all United States and foreign export control laws and regulations. If you send us e-mail or use our Register form, we will send you an online acknowledgment that we have received your contact.
